Welcome to Snack Prompt. By accessing our marketplace and using our services, including our AI Chat and Knowledge Base features, you agree to comply with and be bound by the following Terms of Service.Definitions“Snack Prompt” refers to Snack Prompt LLC, a company organized and existing under the laws of the State of Texas, United States, and its affiliated platforms, products, and services.“Platform” means the Snack Prompt website, marketplace, AI Chat, Knowledge Base, and all related services.“User” means any individual or entity accessing or using the Platform, including Clients and Freelancers.“Prompt” means any AI prompt, template, logic, or digital asset made available through the Platform.“AI Output” means any content generated by artificial intelligence through the Platform.1. Refund Policy
Our goal is to ensure customer satisfaction. Refunds will be granted solely in cases where a purchased prompt or digital asset does not work as described.

• Eligibility: You must submit a request within 24 hours of purchase.

• Evidence: You must provide clear evidence demonstrating that the asset is not functioning as described.

• Discretion: We determine, at our sole discretion, whether a claim is valid. Approved refunds will be processed within 5-10 business days.

2. Intellectual Property & Knowledge Base (KB)

• Prompts: All prompts are the intellectual property of their respective creators. Purchasing a prompt grants you a license, not ownership.

• Knowledge Base (KB): Data uploaded by users to their private Knowledge Base remains the property of the user. We do not acquire ownership rights to your private KB data, nor do we use it to train global models without your explicit consent.

• Third-Party Rights: You are responsible for ensuring your use of the service does not infringe upon any third-party copyrights or trademarks.

3. Usage Policy & License Grant
When you purchase or access an asset on the Platform, you are granted a non-exclusive, non-transferable, non-sublicensable, worldwide, and perpetual license to use the asset solely for lawful purposes and in compliance with these Terms.Restrictions:
You may not use the asset for harmful, illegal, or malicious activities.
You may not resell, redistribute, sublicense, or transfer the prompt logic or underlying structure without the creator’s prior written consent.
You may not remove attribution or proprietary notices, where applicable.Conditional License:
This license is expressly conditioned upon your continued compliance with these Terms. Any violation shall result in immediate and automatic termination of the license, without prejudice to any other remedies available to Snack Prompt or the content creator.4. Custom Job Terms (Freelance Marketplace)
Our platform facilitates connections between Clients and Freelancers for custom AI development.

• Infrastructure: We provide the platform and payment system; the direct working relationship is between users.

• Communication: All project communication and file sharing must occur through our platform.

• Payment Circumvention: Any attempt to arrange direct payments outside of our platform will result in immediate account termination.

• Quality: We do not guarantee the quality or timeliness of work arranged through the platform.

5. Freelancer & Client Obligations

• Freelancers: Must provide accurate information about skills, maintain confidentiality, and complete work professionally.

• Clients: Must provide clear requirements, pay agreed amounts through our system, and maintain professional communication.

• Fraud: Users engaging in scamming or fraudulent behavior will be permanently banned.

6. Dispute Resolution
The parties agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms through good-faith negotiations.If the dispute is not resolved within thirty (30) days, it shall be exclusively resolved by binding arbitration administered in the State of Texas, United States, in accordance with applicable arbitration rules.Waiver of Class Actions:
You agree that disputes will be resolved on an individual basis only, and you waive any right to participate in a class, collective, or representative action.The arbitrator’s decision shall be final and binding upon the parties.7. AI Chat & Pocket Feature Usage
Our Chat feature is intended for productive collaboration and AI interaction.
• Prohibitions: You may not use the chat to advertise other services, spam, or engage in harassment/hate speech.
• AI Output: You acknowledge that AI-generated responses may contain inaccuracies ("hallucinations"). Use of AI output is at your own risk.
• Monitoring: We reserve the right to monitor chat logs to ensure compliance with our safety policies.

No Professional Advice:
• AI-generated content is provided for informational and productivity purposes only and does not constitute legal, medical, financial, or professional advice.
• User Responsibility:
• You acknowledge and agree that you are solely responsible for evaluating, verifying, and applying any AI Output. Snack Prompt shall not be liable for decisions, actions, or outcomes resulting from reliance on AI-generated content.8. Prohibition of Web Scraping & Manipulation

• Scraping: Automated tools (crawlers, bots, scrapers) are strictly prohibited from accessing our marketplace content.

• Ranking Manipulation: Creating multiple accounts or fake reviews to inflate search rankings is strictly forbidden and may lead to legal action.

9. Liability & Disclaimer of Warranties

• "As Is": Our marketplace and AI tools are provided "as is" without any warranties, express or implied.

• No Guarantee: We do not warrant that the prompts or AI outputs will meet your specific requirements or be error-free.

• Limitation: In no event shall we be liable for any loss of data, profits, or business interruption arising from your use of the platform.

10. Indemnification
You agree to indemnify and hold harmless Snack Prompt, its officers, and agents from any claims, damages, or expenses (including legal fees) arising from your violation of these terms or infringement of third-party rights.11. Modification of Terms
We reserve the right to modify these Terms at any time. Your continued use of the platform after changes are posted constitutes your acceptance of the new Terms.12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes shall be submitted to the competent courts of said jurisdiction.13. Survival
Sections relating to Intellectual Property, License Restrictions, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law shall survive the termination or expiration of these Terms.
